Known Risk Insurance

In some corporate and real estate transactions, particular and more complex risks can be identified which cannot always be covered under the more traditional M&A insurances, such as the W&I insurance or tax liability insurance.

The risks could, for example, relate to threatened or ongoing disputes, environmental/pollution matters, patent infringement, or uncertainties around the ownership of shares. In real estate transactions, risks linked to (non-)compliance with building permits and zoning plans may also be identified from time to time.

Known risk insurances are normally a separate workstream during a transaction process and is usually placed as a separate insurance policy, although in some cases it may be possible achieve certain cover for known risks directly under a W&I insurance – often at an additional premium.
